This Site and the Content are available only pursuant to the Terms of Use set out herein. Unless otherwise stated herein and/or in the Agreement, the Content and the Site, including without limitation all right, title and interest therein, and the selection, arrangement, design, composition and architecture, and any enhancement thereof, are the exclusive property of Livetone Inc., copyright © Livetone Inc., LLC or its licensors, all rights reserved. "Livetone Inc.", the Livetone Inc. logo and any other logos, design or marks contained in the Site or used by Livetone Inc. are the exclusive property of Livetone Inc., all rights reserved. Any trade-marks of third parties appear pursuant to any required licenses and/or permissions.

Grant of Limited Gratuitous License
By accepting these Terms of Use and pursuant to the Agreement you are granted a limited, revocable, conditional and non-exclusive license to upload and/or download, and display the Content. Any use not expressly permitted in these Terms of Use is strictly prohibited. This license may be withdrawn or terminated at any time by Livetone Inc. without further notice and/or any liability whatsoever to you.

Use of Content and Site
You agree to use the Content as provided herein. You will not use the Content, or any portion thereof, for illegal purposes and any use by you will at all times be in compliance with these Terms of Use and any applicable laws and regulations. You will not do, or fail to do, anything which may interfere with or impede the operation of the Site or adversely impact the ability of others to access or use the Site or any of its Content. You are responsible for any communications, messages and other information that you receive as a result of your use of the Site and/or any third party links and bear the entire responsibility for any losses that you may experience as a result of your use of this Site and/or the Content. Furthermore, you hereby agree to be solely responsible: 1) for any and all Content and/or Customer Materials that you post on the Site and/or provide Livetone Inc. for posting; 2) making sure that the Content and/or Customer Materials that you post are rigorously checked to ensure accuracy; 3) for making sure that translations and/or any text editing that you post is thoroughly checked and proofread, by native speakers, to ensure that they are correct and do not deviate from the original material; 4) for making sure that any attached voice recordings that you post is checked for accuracy, by comparing the voice recordings against the scripts; 5. For not posting information that can pose a life-threatening situation;

Indemnity
You agree to defend, indemnify and forever hold Livetone Inc., its directors, officers, employees, contractors, partners, affiliates and related companies, including but not limited to any of its affiliates and/or subsidiaries harmless from any and all claims, suits, demands, liabilities, costs and expenses, including reasonable legal fees, related to or arising out of any violation of these Terms of Use and/or the Agreement by you, or in connection with your use of the Content or the Site, or with the transmission of any Content, message and/or information by you to Livetone Inc. and/or any third party whose links are found in this Site.

Products and Services
Although Livetone Inc. takes commercially reasonable efforts to be accurate, Livetone Inc. does not warrant or represent that any information and/or any other data contained in the Content or available via this Site are accurate, current, free of errors or reliable. No listing of any Content, within this Site, shall constitute a warranty and/or statement of accuracy by Livetone Inc., but only an invitation to you to inspect the Content and make that it is reliable and free of errors.

Monitoring and Communications
Livetone Inc. may monitor your use of this Site and/or the Contents, but is not obligated to do so. Livetone Inc. reserves the right to monitor any emails and/or other electronic communications between you, Livetone Inc. and/or any third parties. Any communication between you and Livetone Inc. will be subject to these Terms of Use and the Agreement. Livetone Inc. does not guarantee or warrant the confidentiality of any communications via the Internet between you, Livetone Inc. and/or any third parties. Livetone Inc. do not actively monitor the Site for inappropriate postings and does not on our own undertake editorial control of postings. However, in the event that any inappropriate posting is brought to our attention, we will take all appropriate action to edit, purge or if necessary, remove the same. You will not post any defamatory, abusive, profane, threatening, offensive or illegal materials and/or Content on the Site and you will not post any Content, information or other material protected by copyright without permission of the copyright owner. These Terms of Use will enure to the benefit of Livetone Inc. and its heirs, successor and assigns. Livetone Inc.'s failure to enforce or insist upon strict performance of any term and/or condition of these Terms of Use shall not constitute a waiver of any such term or condition or of subsequent compliance by you with these Terms of Use. These Terms of Use, being personal to you, may not be assigned, in whole or in part, by you.

Effective Date
These Terms of Use are effective as of February 15, 2007.
